SXI / MONGOLIA / CAPITAL / TOKENIZATION

Tokenization built on real rights and real projects

SXI evaluates tokenization as a bridge between Mongolian projects and eligible international investors. Our focus is on legally defined rights, transparent administration and structures that make sense for the underlying business.

We give particular attention to shares and ownership interests, and to participation in gold-stream structures. These are potential transaction models, not live offerings or promises that any asset has already been tokenized.

What tokenization can improve

Tokenization represents assets or rights digitally, potentially enabling more efficient administration, increased transparency and smaller participation units (BIS, tokenization benefits and risks). Those benefits depend on the platform, legal structure and governance; operational, liquidity and regulatory risks remain (BIS, tokenization benefits and risks).

For a project owner, our objective is a clearer route to a suitable investor base. For an investor, it is a clearer account of the instrument, rights, reporting and administration.

  • Participation units: Explore smaller denominations where permitted and commercially practical.
  • Records and reporting: Link digital records with authoritative legal registers and reliable project information.
  • Administration: Assess how subscriptions, permitted transfers and distributions can be processed consistently.
  • Investor controls: Build identity verification, eligibility restrictions and transfer rules into the design.

Smaller units do not make an investment low-risk. A token does not automatically create a secondary market, a right to redemption or an exemption from securities law.

Tokenization of shares and ownership interests

One route is to represent legally issued shares or interests in a project company or special-purpose vehicle digitally. The structure must state whether the investor owns the underlying interest directly, holds it through a custodian or vehicle, or merely has a contractual exposure.

Different tokenized-security models confer different rights; the SEC’s January 2026 staff explanation illustrates this distinction in the United States and is not a statement of Mongolian legal permission (SEC staff, Statement on Tokenized Securities).

  • Ownership and governance: Define voting, information, dividend and liquidation rights, if any.
  • Legal record: Specify the authoritative shareholder or ownership register and how token transfers are reflected in it.
  • Corporate actions: Address new issuance, dilution, transfers, lost keys, corrections, distributions and winding-up.
  • Compliance: Verify company-law restrictions, investor eligibility, offering rules, AML/KYC and custody requirements across relevant jurisdictions.

For a Mongolian LLC, the legal form and transfer of an ownership interest require specific advice; issuing a token is not by itself a valid transfer of company ownership. A minority token holder does not automatically obtain a mining licence, control of operations or a claim on a particular asset.

Tokenized gold-stream structures

In a conventional precious-metal stream, a financier provides upfront funding in exchange for rights to buy a specified share of future production, usually with an additional payment when metal is delivered (Stikeman Elliott, Stream financing: a primer). The producer receives funding but commits part of its future output under the agreed terms (Stikeman Elliott, streaming primer).

SXI may assess a structure in which a dedicated vehicle holds the stream contract and issues a legally supportable tokenized instrument. The instrument could represent an equity interest, a debt claim or another permitted contractual participation; these are not interchangeable and must be chosen before any offer.

An illustrative gold-stream pathway

  • Assess the project: Verify licences, resource and production evidence, recovery, offtake, security and the operator’s delivery capacity.
  • Negotiate the stream: Define eligible production, delivery share, upfront funding, ongoing purchase payments, term, shortfalls, security and remedies.
  • Establish the issuer: Determine which entity holds the stream and which law governs the investor instrument and its enforcement.
  • Design the token rights: Specify precisely what each unit represents, who may hold it and how transfers and distributions work.
  • Control funding and delivery: Use agreed conditions, milestone releases, independent reporting and verification of delivered metal.
  • Apply the payment waterfall: Account for ongoing metal payments, sale proceeds, taxes, operating expenses, reserves and fees before determining any distributable amount.

This is an illustrative structure, not a current SXI transaction. Returns depend on the actual instrument and underlying performance; distributions may be reduced, delayed or absent.

A gold-stream token is not necessarily a physical-gold token

A stream concerns future contractual deliveries or their proceeds. It does not mean that gold already exists in a vault, that reserves are independently allocated to each token, or that holders may redeem tokens for physical gold.

Any physical-delivery or redemption right would need to be expressly created, legally enforceable and supported by the required custody, verification and logistics. A share token, a stream-linked instrument and a token representing allocated vaulted gold must not be presented as the same product.

Potential advantages for both sides

  • For the project owner: Explore capital linked to a defined commercial structure and wider eligible investor participation, while assessing dilution, delivery commitments and lifetime financing cost.
  • For the investor: Seek explicit rights, clear reporting, documented payment priorities and a traceable link between the instrument and the underlying company or contract.
  • For the partnership: Put legal, technical, commercial and digital arrangements into one coordinated process.

The objective is improved clarity and execution, not automatic liquidity or guaranteed returns. Tokenization does not remove geological, operational, price, legal, counterparty, custody or cyber risk.

Before any issuance

Require project-specific legal opinions, approved offering materials, verified technical evidence, a defined issuer and administrator, custody arrangements, smart-contract review, investor onboarding and ongoing reporting. Insurance, where considered, must describe its actual scope and must not be presented as covering all token-holder losses.

SXI does not describe any proposed token as government-approved, insured, redeemable or freely tradable unless that exact claim is supported for the relevant instrument. This page is educational corporate information, not an invitation to subscribe.
